1、中文摘要1999年7月30日，國(guó)家經(jīng)貿(mào)委和中國(guó)人民銀行聯(lián)合下發(fā)的《關(guān)于實(shí)施債權(quán)轉(zhuǎn)股權(quán)若干問題的意見》，正式拉開了“債轉(zhuǎn)股”實(shí)施的序幕。但是在“債轉(zhuǎn)股”實(shí)施過程中，金融資產(chǎn)管理公司能否以債權(quán)出資、如何實(shí)現(xiàn)股權(quán)的變現(xiàn)和順利退出都存在不少法律上的困惑和制度上的缺陷。為此，筆者通過對(duì)前述問題的剖析，認(rèn)為：首先，金融資產(chǎn)管理公司應(yīng)通過開展深刻的組織創(chuàng)新、行業(yè)創(chuàng)新，建立一整套激勵(lì)一約束機(jī)制，形成有效的內(nèi)部治理結(jié)構(gòu)，加速向投資銀行方向發(fā)展：其次，國(guó)有企業(yè)要加速改革，苦練內(nèi)功，自強(qiáng)向上，在“債轉(zhuǎn)股”進(jìn)程中，盡快完成企業(yè)重組，并建立現(xiàn)代企業(yè)制度；雖后，不斷完善“債轉(zhuǎn)股”的
