2、終止是基于合同履行完畢，生效裁決或合同當(dāng)事人合意(meetingofminds)等法律事實(shí)，而導(dǎo)致合同法律關(guān)系歸于消滅。RescissionofContract合同的解除是指合同未履行或未完全履行前(hasnotorwhollybeenperformed)，由于發(fā)生導(dǎo)致合同履行成為不必要或不可能的主客觀情況，當(dāng)事人一方通知另一方(thenoticebytheotherparty)解除原合同法律關(guān)系的法律行為。合同解除是一種單方法律行為(one-sidedactinlaw)。只要法定或約定的合同解除原因發(fā)生，當(dāng)事人一方有權(quán)通知另一
3、方解除合同。RescissionofContractAcontractmayberescindedafterunanimityamongthepartiesisreachedthroughconsultation.Thepartiestoacontractmayworkoutconditionsforonepartytorescindthecontract.Whentheconditionsforrescindingthecontractareripe,thepartywiththerightmayrescindthecontr
